Terms of Use

1. Eligibility & Accounts

• You must be at least 13 years old (or the age of digital consent in your jurisdiction) to use the Service.
• When creating an account, you must provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.
• We may refuse, suspend, or terminate your account if we believe you have violated these Terms or pose a risk to the Service or other users.

2. Platform Nature & No Professional Appraisal

Grādrz is a crowd-sourced, public grading platform for collectibles. Content on the Service (including grades, ratings, opinions, images, and comments) is primarily generated by users and third parties. Grādrz does not provide professional appraisal or authentication services and does not guarantee the accuracy, completeness, or reliability of any user-generated content. You should conduct your own due diligence and consult qualified professionals where appropriate.

3. Your Content & License to Grādrz

You retain ownership of the content you submit, post, upload, or otherwise provide through the Service (“User Content”). By providing User Content, you grant Grādrz a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify, adapt, create derivative works from, publish, publicly display, publicly perform, distribute, and otherwise use your User Content for operating, improving, promoting, and providing the Service and for archiving and backup purposes.

Because Grādrz is public by design, User Content may be visible to other users and to non-users and may be indexed by search engines. Do not submit content you do not want to be public.

4. Your Representations & Warranties

• You represent that you own or have all necessary rights to your User Content and that your User Content and use of the Service will not violate any law or third-party right (including intellectual property, privacy, publicity, or contractual rights).
• You represent that your submissions are accurate to the best of your knowledge and not deceptive or fraudulent.

5. Prohibited Conduct

You agree not to:

• Upload or share content that is unlawful, infringing, defamatory, harassing, hateful, deceptive, or otherwise objectionable.
• Impersonate any person or entity or misrepresent your affiliation.
• Attempt to reverse engineer, interfere with, or disrupt the Service, security measures, or user accounts.
• Scrape, harvest, or collect data from the Service (including user data) except as permitted by an express API license from Grādrz.
• Post malware, spam, or engage in activities that degrade Service performance (e.g., excessive automated requests).
• Use the Service to facilitate illegal transactions or counterfeit/fraudulent activity.

6. Moderation; Takedowns

We may (but have no obligation to) monitor, moderate, edit, or remove User Content at our discretion, including for violations of these Terms or applicable law. If you believe content infringes your rights or violates these Terms, please contact legal@gradrz.com.

7. DMCA Policy

If you are a U.S. copyright owner or their agent and believe content on the Service infringes your copyright, you may submit a notice pursuant to the Digital Millennium Copyright Act (“DMCA”) by emailing dmca@gradrz.com with the following: (a) your physical or electronic signature; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material and its location; (d) your contact information; (e) a statement that you have a good-faith belief the use is not authorized; and (f) a statement that the information is accurate and, under penalty of perjury, you are authorized to act.

We may remove content and terminate repeat infringers’ accounts in appropriate circumstances.

8. Third-Party Services & Links

The Service may link to or integrate with third-party websites, platforms, or services (e.g., analytics, storage, payments). Grādrz is not responsible for third-party content, policies, or practices. Your use of third-party services is governed by their terms and policies.

9. Changes to the Service

We may change, suspend, or discontinue any part of the Service at any time, including features, content, and availability, without liability.

10. Fees & Payments

[If Grādrz offers paid features:] You agree to pay all applicable fees, taxes, and charges identified at the time of purchase or subscription. Prices and billing terms are subject to change with notice as required by law. Unless stated otherwise, fees are nonrefundable.

11. Ownership; Marks; Feedback

• The Service, including all software, designs, and content provided by Grādrz (excluding User Content), is owned by or licensed to Grādrz and is protected by intellectual property laws.
• “Grādrz” and associated logos, names, and trade dress are property of ironetic, LLC. You may not use them without our prior written consent.
• If you provide feedback or suggestions, you grant Grādrz a perpetual, irrevocable, worldwide, royalty-free license to use and exploit the feedback without restriction.

12. Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and share information.

13. Disclaimers

THE SERVICE AND ALL CONTENT (INCLUDING USER CONTENT) ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRĀDRZ AND ITS AFFILIATES DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. GRĀDRZ DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CONTENT WILL BE ACCURATE OR RELIABLE.

Grādrz IS NOT A PROFESSIONAL APPRAISER OR AUTHENTICATION SERVICE AND DOES NOT GUARANTEE ANY GRADE, RATING, OR VALUATION.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Grādrz AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO Grādrz IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100.

15. Indemnification

You agree to defend, indemnify, and hold harmless Grādrz and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or third-party right.

16. Governing Law; Venue

These Terms are governed by the laws of the State of [Insert State], without regard to conflict of laws principles. You and Grādrz submit to the exclusive jurisdiction and venue of the state and federal courts located in [Insert County/State] for any dispute not subject to arbitration, and you waive any objection to jurisdiction and venue in such courts.

17. Dispute Resolution; Arbitration; Class Action Waiver

18. Termination

You may stop using the Service at any time. We may suspend or terminate your access at any time for any reason, including violation of these Terms. Sections that by their nature should survive termination (e.g., licenses, disclaimers, limitations of liability, indemnity, dispute resolution) will survive.

19. Export & Sanctions Compliance

You may not use or access the Service if you are located in, under the control of, or a national or resident of any country subject to U.S. sanctions or if you are on any U.S. government list of prohibited or restricted parties. You agree to comply with all applicable export control and sanctions laws.

20. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Grādrz regarding the Service and supersede prior agreements.
• Changes to Terms: We may update these Terms from time to time. The “Effective Date” reflects the latest revision. Continued use of the Service after changes means you accept the updated Terms.
• Assignment: You may not assign these Terms without our prior written consent. We may assign freely.
• Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
• No Waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
• Notices: We may provide notices via the Service, email, or by posting to our site. You agree to receive electronic communications.
